Terms of Service

These Terms of Service ("Terms") govern your access to and use of scripy.io and all related services, tools, and content provided by Scripy ("we," "us," or "our"). By creating an account or using Scripy, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Eligibility

You must be at least 13 years old to use Scripy. If you are under 18, you represent that you have your parent or guardian's permission. By using the service you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@scripy.io if you suspect any unauthorised use. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Plans, Billing, and Cancellation

Free plan: Available at no charge with limited features as described on our pricing page. We reserve the right to modify free-plan features at any time.
Paid plans (Indie, Pro): Billed monthly or annually via Stripe. All fees are stated in USD and are exclusive of any applicable taxes. Prices may change with 30 days' notice.
Cancellation: You may cancel your subscription at any time through your account settings. Access continues until the end of the current billing period. We do not issue prorated refunds for partial periods.
Refunds: Refunds are provided at our discretion. If you believe you were charged in error, contact us within 14 days of the charge at legal@scripy.io.
Usage limits: Monthly analysis quotas reset on your billing anniversary date. Unused analyses do not roll over. The Free plan has a lifetime limit of 2 analyses.

4. Acceptable Use

You agree not to:

Upload content you do not own or have the right to use.
Use the service to generate content that is unlawful, defamatory, harassing, or infringing on third-party intellectual property rights.
Attempt to reverse-engineer, scrape, or extract the underlying AI models or data.
Use automated tools to access the service in a way that exceeds reasonable personal use or that interferes with our infrastructure.
Resell, sublicense, or commercially redistribute outputs without our written consent.
Circumvent any access controls, rate limits, or tier restrictions.

We reserve the right to suspend or terminate access for any violation of this section without notice.

5. Your Content

You retain full ownership of all scripts, text, and other content you upload or create on Scripy ("Your Content"). By uploading content, you grant us a limited, non-exclusive, royalty-free licence to process, store, and display Your Content solely to provide the service to you. We do not use your scripts or breakdowns to train AI models.

You are solely responsible for Your Content. We do not review content before it is processed and accept no liability for any content you submit.

6. AI-Generated Outputs

Scripy uses large language models to generate production breakdowns, script coverage, shot lists, and schedules. These outputs are provided for informational and creative assistance purposes only. They are not a substitute for professional production management, legal advice, or editorial review. We make no guarantee that outputs are accurate, complete, or fit for any particular purpose. You assume full responsibility for how you use AI-generated content.

7. Intellectual Property

All software, design, trademarks, logos, and other materials comprising the Scripy service are owned by us or our licensors and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of our intellectual property to you.

8. Third-Party Services

The service integrates with third-party providers including Clerk (authentication), Stripe (payments), Convex (database), and AI API providers. Your use of those services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of any third-party provider.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SCRIPY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $50.

11. Indemnification

You agree to indemnify, defend, and hold harmless Scripy and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the service, Your Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the effective date. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
